- • The future requirements for the refurbishment, redevelopment, partial retention or potential selective demolition of heritage assets within the regeneration area may evolve as further surveys, technical investigations, viability assessments and planning discussions are undertaken, particularly in relation to the Engine Works and other historic buildings.
• The scope, timing and extent of enabling infrastructure works may require amendment following the completion of further technical investigations, including sewer diversion requirements, utilities infrastructure, ground conditions and site preparation works.
• The regeneration programme may be affected by the availability, timing, conditions or reallocation of public sector grant funding, including Towns Fund, Brownfield Land Release Fund and other funding opportunities which may become available during the term of the Development Agreement.
• The proposed NHS Community Diagnostics Centre may proceed, be amended or not proceed, which could require changes to site boundaries, development parcels, infrastructure requirements, car parking provision, development phasing and associated obligations.
• Additional land and property interests within the wider Shrub Hill Quarter may be acquired by the Authority or become available during the term of the Development Agreement, requiring amendments to the scope of the partnership and development programme.
• The extent and timing of development parcels may require amendment to reflect planning requirements, viability considerations, market conditions, stakeholder requirements or changes to the agreed phasing strategy.
• Additional public realm, transport, active travel, rail connectivity, environmental or infrastructure requirements may emerge through the planning process, engagement with statutory consultees or funding bodies, or through the evolution of the wider masterplan.
• The long-term regeneration strategy may require modification to respond to changes in national, regional or local planning policy, funding programmes, transport initiatives or Local Government Reorganisation arrangements impacting the project area.
The Authority considers that these risks may jeopardise the performance of the contract but, due to the nature of the risks, due to the long-term nature and complexity of the regeneration project, the precise nature and extent of any resulting changes cannot reasonably be determined at the time of contract award . Therefore, the Authority reserves the right to modify the awarded contract to address the risks in accordance with Schedule 8 of the Act.

- PROCUREMENT PROCESS
The procurement process will follow the competitive flexible procedure in accordance with the Act. Whilst substantive amendments are not expected to be made, the Authority has expressly reserved the right to refine the award criteria contained within the procurement documents and is provided for information only at this stage.
The process consists of a two -stage procedure.
Each stage of the process is summarised below.
Stage 1 - Invitation to Participate
Stage 1 commenced with the issuing of a Tender Notice and the publication of the ITP. The ITP includes a procurement specific questionnaire (PSQ) which all Bidders are required to complete and return in accordance with the Procurement Timetable and instructions within the ITP. The ITP responses will then be evaluated by the Authority. Further details of the selection criteria and process that will be followed to determine the shortlist of Bidders is set out within the ITP document. Following evaluation of the responses to the PSQ, provided there are sufficient suitable Bidders based on the PSQ evaluation, the Authority intends to invite the top 4 scoring Bidders to participate in the next stage of the Procurement.
Bidders who are successfully shortlisted at Stage 1 will be invited to participate in Stage 2. Bidders should note that the Authority reserves the right to re-assess any response to the PSQ, in light of any new relevant information that comes to the Authority's attention. Please refer to the Procurement Terms and Conditions set out in Schedule 1 of the ITP Tender Documents.
Stage 2 - ITT / Invitation to Submit Final Tenders
Stage 2 will commence with the issuing of a letter inviting Bidders that have successfully passed Stage 1 to attend two or more discussion sessions. The Authority will also publish an updated Invitation to Tender (ITT), setting out the confirmed requirements for confirmed evaluation criteria for Final Tenders and any other details regarding this stage of the procurement.
Discussion sessions:
Discussion sessions will be split into two focus areas. Technical, Design & Social Value and Legal & Commercial. Bidders will be invited to submit questions they have, relating to these two focus areas. These sessions will not be evaluated under any scoring methodology.
Stage 2 - Invitation to Submit Final Tenders
Bidders that have been successfully shortlisted at Stage 1 and that have complete the discussion sessions, will then submit their Tenders. The ITT document will set out the evaluation criteria, evaluation methodology and any other details regarding this stage of the procurement.
Tenders must be submitted in accordance with the timetable and instructions set out in the ITT document.
After the deadline for submission of Tenders, the Authority will reconsider, in respect of each Bidder that submitted a Tender, whether the Bidder or any related persons within its corporate group, Associated Persons relied on to meet the conditions of participation, or proposed sub-contractors, are Excluded or Excludable Suppliers and will consider whether to disregard the Tender submitted in accordance with its obligations under the Act. If the Bidder is an Excluded or Excludable Supplier only by virtue of an associated person or proposed sub-contractor, the Authority will notify the Bidder of its intention to disregard its tender and provide the Bidder with a reasonable opportunity to replace the Associated Person or sub-contractor. If as a consequence of this process the Authority disregards a tender from an Excluded or Excludable Supplier, or is aware of an Associated Person or sub-contractor having been replaced, it will give notice of this fact within 30 days of its decision to the Procurement Review Unit (PRU).
Evaluation of Tenders:
The Authority will assess all Tenders in order to identify the Bidder which has submitted the most advantageous tender in accordance with the assessment methodology and award criteria set out in the Tender Notice and described in the ITT.
In carrying out this assessment, the Authority will disregard any tender from a Bidder that does not satisfy the conditions of participation. The Authority may also disregard a tender: from a Bidder that is not a United Kingdom supplier or a treaty state supplier (as defined in the Act) or that intends to sub-contract the performance of all or part of the Contract to a supplier that is not a United Kingdom supplier or a treaty state supplier (as defined in the Act); or if the tender breaches a procedural requirement set out in the Tender Notice or associated tender documents; or if the tender offers a price that the Authority considers to be abnormally low for the performance of the Contract. Where the Authority considers that a price offered by a Bidder in its tender is abnormally low, the Authority will notify the Bidder and give the Bidder a reasonable opportunity to demonstrate that it will be able to perform the contract for the price offered. The Authority will only disregard the tender if the Bidder cannot satisfactorily demonstrate that it will be able to perform the Contract for the price offered.
If, as part of any bidder's proposed commercial structure, any development lease or development sub-lease is proposed to be granted to a developer or sub-developer who is not part of any consortium or supply chain identified at the outset, the Authority will require this to be identified during the procurement by the Development Partner to allow the Authority to consider if any further information is required in respect of any such parties or the proposed structure.
Once the assessment has concluded, the Authority will provide an assessment summary to all Bidders that submitted Tenders to: inform them whether they have been successful in being awarded the Contract; provide an explanation of the assessment of the Bidder's tender against the relevant award criteria, in accordance with the requirements of the Act; and where different to the Bidder concerned, provide information in respect of the most advantageous tender submitted, including details of the assessment of this tender against the relevant award criteria and the successful Bidder's name.
Once the assessment summaries have been provided to the Bidders that submitted Tenders, the Authority will also publish a Contract Award Notice on the Central Digital Platform to commence the mandatory standstill period.
Contract Award
Following the successful conclusion of the standstill period and contract finalisation stage, the Authority expects to enter into the Contract with the Successful Bidder and it will then publish a Contract Details Notice on the Central Digital Platform (within 30 days of the date on which the Contract is entered into).
