East Hampshire District Council proposes to modify its contract with Sports & Leisure Management for the construction and operation of a new family-focused leisure-water facility forming the Wetside Extension to Whitehill & Bordon Leisure Centre. The modification expands the scope of the existing arrangements to include the construction and commissioning of the IAAZ and, following completion, its ongoing operation and management, including staffing, programming, customer access, booking and pricing arrangements, cleaning, utilities, health and safety, safeguarding, maintenance and asset management, financial management, performance monitoring, reporting and marketing. The modification also introduces the associated operating and financial arrangements for the IAAZ, including annual business planning, budgeting and open-book financial arrangements, together with the agreed treatment of operating income, expenditure, surpluses and verified operating deficits. The modification adds construction works with a maximum value of £3,665,212

  • East Hampshire District Council is committed to high quality leisure provision and is seeking a partner (or partners) who they can work with to deliver their vision and outcomes. As a result the Council is inviting tenders from prospective organisations to enter into a joint venture (the terms of which will be developed during the dialogue process but may include the establishment of a special purpose vehicle or a direct contractual arrangement) to develop and then operate the Council's Leisure Centres. The existing facilities are as follows: Alton Sports Centre (ASC); Mill Chase Leisure Centre (MCLC), Whitehill and Bordon; Taro Leisure Centre (TLC), Petersfield. The Council is seeking through a joint venture arrangement, in which the Council is willing to explore sharing in the risk and reward, to deliver a replacement facility for Alton Sports Centre and a new facility for Whitehill and Bordon (to replace the Mill Chase Leisure Centre) and invest in the Taro Leisure Centre (Petersfield). The successful entity will deliver services at all 3 venues under the terms of a management agreement (both pre and post capital investment). The Council will explore various funding options for the capital works including using existing reserves and funds, lending to the successful partner on appropriate rates or the successful bidder securing loans from a third party. The Council will seek to drive down on-going management costs with the view to sharing in the income generated and aim to adopt a 0-subsidy arrangement. The Council is seeking a contractual arrangement lasting no less than 10 years (the maximum term will be confirmed during dialogue and be based on solutions from the market). The contract commenced on 31/03/2017 and was due to expire on 31/03/2037.. However, the contract was extended on 27/05/2021 for a period of 5-years and is now due to expire on 31/03/2042.Value not stated

Description
East Hampshire District Council proposes to modify its contract with Sports & Leisure Management for the construction and operation of a new family-focused leisure-water facility forming the Wetside Extension to Whitehill & Bordon Leisure Centre. The modification comprises the construction and delivery of the new Indoor Aquatic Adventure Zone (IAAZ) at Whitehill & Bordon Leisure Centre and the incorporation of the completed facility into the leisure facilities and services operated by Sports and Leisure Management Ltd (trading as Everyone Active) under the existing leisure management contract. The modification adds construction works with a maximum value of £3,665,212
Rationale
Need for additional works, services or supplies by the original contractor/concessionaire: The Council is modifying its existing Operating Agreement with Sports and Leisure Management Limited (SLM) to enable the Indoor Aquatic Adventure Zone (IAAZ) to be constructed and then operated as part of the existing Leisure Centre. The Council has considered whether the IAAZ could instead be constructed through a separate contractor. This was not considered appropriate because the IAAZ is a physical extension to an existing operational leisure centre building and needs to be fully integrated with the Centre's existing buildings, systems, staff, management and customer services. SLM already operates the Leisure Centre and has the operational arrangements, staff, systems and infrastructure needed to integrate the IAAZ into the existing leisure service. Using the existing arrangement will avoid the additional contractual interfaces, mobilisation costs and operational disruption that would arise from appointing a separate contractor or operator. The Council is therefore planning to modify the existing Operating Agreement under Regulation 72(1)(b) of the Public Contracts Regulations 2015 to enable the construction of the Leisure Centre IAAZ by SLM. Officers have considered the requirements of this provision and are satisfied that they are met, including that appointing a different contractor would not be appropriate for technical and economic reasons and would cause significant inconvenience and additional costs to the Council. Officers have also assessed the value of the modification against the original value of the Operating Agreement and are satisfied that it is within the applicable financial limit under Regulation 72(1)(b). The detailed calculation and supporting evidence are retained on the Council's procurement file and are not included in this notice because they contain commercially sensitive information.
